Terms of Service

These terms form a binding agreement between you and [COMPANY_LEGAL_NAME] (“CandleSniff”, “we”, “us”) governing your use of the CandleSniff platform. Please read them together with our Privacy Policy and Risk Disclaimer, both of which are part of this agreement.
The short version. CandleSniff is a research and analytics tool. We do not give investment advice, we do not manage money, and we do not place trades on your behalf. Anything you do with the information you find here is your own decision and your own risk.

1. Who we are

2. What the service is

CandleSniff provides market data, charting, notebooks with browser and cloud execution, datasets, published strategies and social features for people who analyse financial markets.

What the service is not: we are not a broker, an exchange, an investment firm, a portfolio manager or a financial adviser, and we are not authorised or regulated as any of those. We do not execute orders, hold client funds or hold client financial instruments. Portfolio and order features in the product are record-keeping and simulation tools; entering an order in CandleSniff does not place a trade anywhere.

3. Eligibility and your account

  • You must be at least 18 years old and legally able to enter a contract.
  • You must give accurate registration information and keep it up to date.
  • You are responsible for everything done through your account. Keep your credentials secret, enable two-factor authentication, and tell us promptly at [email protected] if you suspect unauthorised access.
  • One account per person. Accounts are not transferable and may not be shared or resold.

4. Plans, prices and payment

Subscriptions and one-off purchases

Paid plans are described on our pricing page. Prices are shown inclusive or exclusive of VAT as indicated at checkout; VAT is applied according to your billing country. Recurring plans renew automatically at the end of each billing period until cancelled.

Payment

Card and wallet payments are processed by Stripe; cryptocurrency payments, where offered, are processed by CoinGate. We do not receive or store your full card number. If a renewal payment fails we will email you and retry over a short period; if it keeps failing your paid features will be suspended and the subscription ends.

Trials

Where a free trial is offered it is limited to one per tier per account, and it converts to nothing — a trial never starts a paid subscription on its own. You choose whether to buy when it ends.

Price changes

We may change prices for future billing periods. We will give you at least 30 days’ notice by email, and you may cancel before the change takes effect.

5. Cloud compute and fair use

Paid plans include an allowance of cloud CPU and GPU time for running notebooks. Each plan has a monthly compute budget, a cap on how many runs you can have in flight at once, and a maximum length for a single run. You can see your current usage and remaining budget in the app.

  • When your monthly budget is exhausted, cloud runs stop until the budget resets at the start of the next calendar month or you upgrade.
  • A run that reaches the maximum length for your plan is stopped automatically. Save your work as you go.
  • Compute is for interactive research and analysis. Cryptocurrency mining, password cracking, running network services, training models for resale as a compute-arbitrage service, and any other use whose main purpose is to consume compute rather than to use CandleSniff, are prohibited.
  • We may suspend compute access without notice where usage threatens platform stability or indicates abuse, and will tell you why afterwards.

6. Acceptable use

You agree not to:

  • break any applicable law, including market-abuse, insider-dealing and sanctions rules;
  • present CandleSniff content as personalised investment advice, or use the platform to give regulated investment advice to others without the authorisation that requires;
  • publish content that is unlawful, deceptive, defamatory, infringing, or that promotes a security or token while concealing that you are paid to do so;
  • scrape, resell or redistribute market data or datasets except as the relevant licence expressly allows;
  • attempt to breach or probe our security, escape the notebook sandbox, access another user’s data, or disrupt the service;
  • upload malware, or use the service to attack or send unsolicited messages to third parties.

7. Your content

You keep ownership of the notebooks, datasets, strategies, posts and other material you create. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and display that material strictly as needed to operate the service and to provide the features you use — for example, showing a post you publish to the audience you chose.

If you publish content publicly, you also grant other users the right to view it, and to use it as permitted by the sharing settings you selected. You are responsible for having the rights to everything you upload, including any third-party data you bring in.

8. Our content and third-party data

The platform, its software, design and our own content remain ours or our licensors’. Nothing here transfers ownership of them to you.

Market data is supplied by third parties. It may be delayed, incomplete or wrong, and it is provided subject to the relevant data provider’s terms. We do not warrant its accuracy or fitness for any purpose, and you must not rely on it as the sole basis for a decision that matters to you.

9. Cancellation, withdrawal and refunds

Cancelling

You can cancel a recurring subscription at any time from your billing settings. Cancellation takes effect at the end of the period you have already paid for; you keep access until then, and you are not charged again.

Your right of withdrawal (EU/EEA consumers)

If you are a consumer in the EU or EEA you normally have 14 days to withdraw from a distance contract without giving a reason. Because our service is digital content supplied immediately, by starting to use a paid feature you ask us to begin performance during the withdrawal period and acknowledge that you lose the right of withdrawal once the service has been fully performed. Where the service has only been partly performed, you may still withdraw and we will refund you in proportion to what you have not used.

To withdraw, email [email protected] with your account email and order reference. We refund using the same payment method you used, within 14 days of accepting the withdrawal.

Other refunds

Outside the withdrawal right, payments are non-refundable except where the law requires otherwise or where we have clearly failed to provide the service. If something has gone wrong, contact us — we would rather fix it than argue about it.

10. Suspension and termination

We may suspend or close your account if you materially breach these terms, if we are required to by law, or if your use presents a security or legal risk to us or other users. Where it is reasonable and lawful to do so, we will warn you first and give you a chance to put things right. If we close a paid account other than for your breach, we refund the unused part of the period you paid for.

You may close your account at any time from your settings. You can export your data before you do; after closure we delete or anonymise your personal data as described in the Privacy Policy.

11. Availability and warranties

We work to keep CandleSniff available and accurate, but we provide it “as is”. We do not warrant that it will be uninterrupted, error-free, or that any analysis, backtest or signal will be profitable or correct. Maintenance and third-party outages happen.

Nothing in these terms excludes any warranty or right that the law gives you and that cannot be excluded — including the statutory conformity rights EU consumers have in respect of digital services.

12. Liability

We are liable to you for foreseeable loss caused by our breach of this agreement. We are not liable for:

  • trading or investment losses, lost profits, or decisions you take based on anything you find on the platform;
  • loss caused by third-party data being delayed, wrong or unavailable;
  • indirect or consequential loss.

Where our liability can lawfully be capped, it is capped at the greater of the amount you paid us in the 12 months before the event, or €100. We do not limit liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited under Italian law.

13. Changes to these terms

We may update these terms. For changes that materially affect your rights we will give at least 30 days’ notice by email or in-app notice before they take effect. If you do not accept a change you may cancel before it applies. Continuing to use the service after that date means you accept the updated terms.

14. Governing law and disputes

This agreement is governed by Italian law. If you are a consumer, you keep the protection of the mandatory rules of the country where you live, and you may bring proceedings in your local courts.

If we cannot resolve a complaint directly, EU consumers may use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
